Acceptance of Agreement - For the purposes of this Terms and Conditions Agreement (the "Agreement"), the terms "we", "us", "our", refer to Pharmacodex. The terms "You", "User" and "End-User" refer to You as a user of the mobile application (“Pharmacodex”, “App”) and website (pharmacodex.cc) provided by Pharmacodex. The mobile application and website shall be collectively referred to as the "Services". You agree to the terms and conditions outlined in this Agreement with respect to the use of the Services. This Agreement constitutes the entire and only agreement between us and You, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the App, the content, products or services provided by or through the Services, and the subject matter of this Agreement. This Agreement may be amended at any time from time to time by us without specific notice to You. The latest Agreement will be posted on the App, and You should review this Agreement prior to using the Services. By accessing the Services, You agree to be bound by the terms of the latest Agreement posted.
Copyright and Trademarks - Pharmacodex does not grant you any intellectual property rights in the Services that are not specifically stated in these Terms. For example, these Terms do not provide the right to use any of Pharmacodex’s or Pharmacodex’s copyrights, trade names, trademarks, service marks, logos, domain names, or other distinctive brand features.
Limited Right to Use - Personal Use - You are granted a limited, personal, non-exclusive, non-commercial license to create, view, print or download content, graphics, forms or documents from or to the App for use solely by You for Your own personal use. The App may not be used for any commercial purpose, commercial advantage or private monetary compensation. In order to use some of the Services, you'll need to create a Pharmacodex Account. During registration, you will be asked to set a password. You are responsible for keeping your password confidential and for the activity that happens through your Pharmacodex account. Pharmacodex is not responsible for any losses arising out of unauthorized use of your Pharmacodex account. It is your responsibility to protect your online accounts using strong and different passwords, password managers and other safety measures.
Editing, Deleting, and Modification - We reserve the right in our sole discretion to edit or delete any information or other content appearing on the Services at any time without notice.
Content - If You create content, ideas, notes, concepts, or other information (collectively, the "Submissions") in the use of the Services, the Submissions shall be deemed, and shall remain, the property of Pharmacodex. None of the Submissions shall be subject to any obligation of confidence on the part of Pharmacodex, and Pharmacodex shall not be liable for any use or disclosure of any Submissions. You hereby represent and warrant that You have all necessary rights in and to the Submissions You provide and that all information they contain shall not infringe any proprietary or other rights of third parties, or contain any libelous, tortuous, or otherwise unlawful information and will comply with any content guidelines presented by Pharmacodex. By uploading Submissions, you hereby grant us a nonexclusive, royalty-free, worldwide license to use your Submissions in connection with the provision of the Services.
Pharmacodex does not endorse and has no control over the Content submitted by others to the Services. Content submitted to the Services are not necessarily reviewed by Pharmacodex and do not necessarily reflect the opinions or policies of Pharmacodex. Pharmacodex makes no warranties, express or implied, as to the Submissions or the accuracy and reliability of any Submissions and other materials on the Services. Nonetheless, Pharmacodex reserves the right to prevent You from contributing Submissions to the Services and to edit, change and/or remove such Content for any reason whatsoever without prior notice. In the event You request the removal or modification of content submitted by You or another User which includes Personally Identifiable Information (PII), we will remove any such information upon request submitted via email. Pharmacodex shall not be held liable for any personal identification that may occur from user-generated Submissions.
Indemnification - You agree to defend, indemnify and hold harmless Pharmacodex its affiliates and their respective directors, officers, employees and agents (collectively, "Affiliated Parties") from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable solicitor/ attorney fees and costs) arising out of or accruing from: (a) any material submitted or otherwise provided by You that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy; (b) any misrepresentation made by You in connection with Your use of the App; (c) any non-compliance by You with the terms and conditions of this Agreement; and (d) claims regarding any liability, loss, claim and/or expense arising from or related to Your access and use of the Services, including information obtained through the Services. Notwithstanding the foregoing, Pharmacodex reserves the right to assume at its expense the exclusive defense and control of any matter subject to indemnification by You, in which event You will fully cooperate with Pharmacodex in asserting any available defenses.
In-App Auto-Renewable Subscriptions - Free trial and subscription durations include access to all of Pharmacodex’s features (current and future) as well as routine content updates. Any unused portion of a free trial period will be forfeited when you purchase a subscription. Payment will be charged to your iTunes Account at confirmation of purchase. Your subscription will automatically renew at the duration selected unless auto-renew is turned off at least 24 hours before the end of the current period. Your iTunes Account will be charged for renewal within 24 hours prior to the end of the current period. The cost of the renewal will be the subscription fee you have agreed to. Current subscription may not be canceled during the active subscription period; however, you can manage your subscription and/or turn off auto-renewal by visiting your iTunes Account Settings after purchase. If you choose not to renew your subscription, you will no longer have access to the App after the end of the current period.

We are not responsible for the content, accuracy or opinions expressed in such websites, and such websites are not investigated, monitored or checked for accuracy or completeness by us. The inclusion of any linked website on our App does not imply approval or endorsement of the linked website by us. If You decide to access these third-party sites, You do so at Your own risk.
International Information - Pharmacodex makes no representation that materials and information provided on this App are appropriate or available for use in specified territories. Those who choose to access the services do so on their own initiative and are responsible for compliance with laws pertaining to their local territory, if and to the extent that local laws are applicable.
