Prior notification of a concentration

(Case M.11410 – HEDIN MOBILITY / IVECO SWEDEN / IVECO DENMARK / IVECO FINLAND / IVECO NORGE)

1.   

On 16 May 2024, the Commission received notification of a proposed concentration pursuant to Article 4 and following a referral pursuant to Article 4(5) of Council Regulation (EC) No 139/2004 (1).

This notification concerns the following undertakings:

Hedin Mobility Group AB (‘Hedin Mobility’, Sweden), and

Iveco Sweden AB (Sweden), Iveco Danmark A/S (Denmark), Iveco Finland OY (Finland), and Iveco Norge Trucks AS (Norway) (jointly, ‘Target Companies’), fully owned by Iveco Group N.V. (‘Iveco’, Netherlands).

Hedin Mobility will acquire within the meaning of Article 3(1)(b) of the Merger Regulation control of the Target Companies.

The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are the following:

Hedin Mobility is active mainly in the import and distribution of new and used vehicles (including passenger cars and light commercial vehicles), spare parts and tyres, as well as in leasing and short-term rentals of vehicles, including in Denmark, Finland, Norway and Sweden. Hedin Mobility is a subsidiary of Hedin Group AB,

The Target Companies are wholly owned wholesale and retail distributors of the Iveco Group in Denmark, Finland, Norway and Sweden, active in the sale of light commercial vehicles, medium and heavy trucks, in the sale of spare parts, and in the servicing of commercial vehicles.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.

Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
